GalaxyOne Holdings, LLC ("GalaxyOne," "Company," "we," "us," or "our")

1. Overview

These Promotion Terms and Conditions ("Promotion Terms") govern your participation in the GalaxyOne Zero Fees Crypto Trading Promotion (the "Promotion"). By participating in the Promotion, you ("Participant" or "you") agree to these Promotion Terms, our Terms of Use, Privacy Policy, and any other agreements governing your use of GalaxyOne products and services. If there is a conflict between these Promotion Terms and any other agreement governing your access to and use of GalaxyOne services, these Promotion Terms shall control solely with respect to matters directly relating to the Promotion.
GalaxyOne reserves the right to modify, suspend, or terminate the Promotion or these Promotion Terms at any time, except as required by applicable law.

2. Promotion Period

The Promotion begins at 12:00 a.m. Eastern Time on July 21, 2026 and ends at 11:59 p.m. Eastern Time on August 3, 2026 (the "Promotion Period").
Only eligible trades executed during the Promotion Period qualify for the fee waiver described in these Promotion Terms.

3. Eligibility

Participation eligibility is determined by GalaxyOne and may change based on legal, regulatory, operational, compliance, or risk considerations.
To be eligible for the Promotion, you must:

• Have an active GalaxyOne account in good standing;

• Successfully complete all required onboarding, identity verification, know-your-customer ("KYC"), anti-money laundering ("AML"), and other compliance requirements;

• Be legally eligible to access GalaxyOne crypto trading services in your jurisdiction; and

• Remain in compliance with the Terms of Use and all applicable laws throughout the Promotion Period.

The Promotion is available to both new and existing GalaxyOne users in all jurisdictions where GalaxyOne crypto trading services are available and legally permitted.
GalaxyOne may restrict, suspend, or terminate participation in the Promotion if required to comply with applicable laws, regulations, sanctions programs, court orders, governmental requests, or internal risk-management policies.

4. Promotion Benefit

Fee Waiver

During the Promotion Period, GalaxyOne will waive its standard crypto trading fee on eligible crypto buy and sell transactions executed through the GalaxyOne platform.
The fee waiver will be applied automatically at the time of trade execution. Eligible trades will not be charged a GalaxyOne trading fee during the Promotion Period, and no rebate, reimbursement, refund, or promotional credit will be provided in lieu of the fee waiver.

Eligible Transactions

The Promotion applies to all eligible crypto buy and sell transactions executed through the GalaxyOne platform during the Promotion Period, including:

• Market orders;

• Recurring purchases;

• Any other supported crypto trading functionality made available by GalaxyOne during the Promotion Period; and

• All supported digital assets available for trading on the platform.

Exclusions

The Promotion waives only GalaxyOne's standard crypto trading fee.

The Promotion does not waive, reduce, reimburse, or otherwise affect:

• Third-party exchange fees;

• Payment processor fees;

• Network, blockchain, miner, validator, or gas fees;

• Spreads incorporated into transaction pricing;

• Any fees charged by third-party service providers; or

• Any other fees or charges not expressly identified as GalaxyOne's crypto trading fee.

GalaxyOne's transaction pricing methodology remains unchanged during the Promotion Period.

5. Disqualification

GalaxyOne may disqualify any Participant from the Promotion if the Participant:

• Fails to meet the eligibility requirements;

• Provides false, inaccurate, incomplete, or misleading information;

• Attempts to manipulate, abuse, or circumvent the Promotion;

• Violates these Promotion Terms, the Terms of Use, or any applicable law; or

• Engages in suspicious, fraudulent, abusive, or high-risk activity.

If GalaxyOne determines that a Participant is not eligible for the Promotion, GalaxyOne may deny or revoke any Promotion benefits to the fullest extent permitted by law.

GalaxyOne's determinations regarding eligibility and participation shall be final.

6. Future Fee Schedule
Following the conclusion of the Promotion, GalaxyOne's crypto trading fee schedule will automatically transition to a fee of 0.99 basis points ("bps") (0.0099%) on eligible crypto buy and sell transactions beginning August 1, 2026.
GalaxyOne reserves the right to modify its fee schedule at any time in accordance with the Terms of Use and applicable disclosures. Nothing in these Promotion Terms guarantees the availability of any particular fee schedule beyond the Promotion Period.

7. Incorrect Fee Charges.

If GalaxyOne determines that a user was incorrectly charged a GalaxyOne crypto trading fee during the Promotion Period or was incorrectly charged a fee other than the applicable 0.99 bps fee following August 1, 2026 as a result of a technical error, system malfunction, or operational issue, GalaxyOne may, in its sole discretion, credit the affected account for the amount of the incorrectly charged fee. Any such credit will generally be issued within a reasonable period after GalaxyOne confirms the error. GalaxyOne reserves the right to investigate claims of incorrect fee charges and may require additional information to verify eligibility for remediation.

8. Limitation of Liability

To the maximum extent permitted by applicable law, GalaxyOne and its affiliates, directors, officers, employees, agents, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or relating to the Promotion.
GalaxyOne does not guarantee uninterrupted access to trading services and shall not be responsible for delays, outages, execution failures, pricing discrepancies, market volatility, third-party service interruptions, or technical malfunctions.

9. Digital Asset Risk Disclosure

Digital asset transactions involve significant risk. The value of digital assets may fluctuate substantially and may result in partial or total loss of value.
Participation in the Promotion does not constitute investment advice, a recommendation, or an endorsement of any digital asset, investment strategy, or transaction.
Digital assets are not legal tender and are not insured by the Federal Deposit Insurance Corporation ("FDIC"), the Securities Investor Protection Corporation ("SIPC"), or any governmental agency.
Participants are solely responsible for evaluating the risks associated with digital asset transactions and for determining whether such transactions are appropriate for their individual circumstances.

10. Taxes

Participants are solely responsible for determining and satisfying any tax obligations arising from their trading activity or participation in the Promotion.
GalaxyOne does not provide tax advice. Participants should consult their own tax advisors regarding the tax consequences of digital asset transactions.

11. General Terms

This Promotion is void where prohibited.

Participation in the Promotion is subject to all applicable federal, state, and local laws and regulations.

GalaxyOne may amend these Promotion Terms at any time by posting updated terms on the GalaxyOne platform. Continued use of GalaxyOne services following any amendment constitutes acceptance of the revised Promotion Terms.

If any provision of these Promotion Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Any arbitration provision, class-action waiver, jury-trial waiver, limitation of claims, or dispute-resolution procedures contained in the Terms of Use are incorporated herein by reference.

These Promotion Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict-of-law principles.
