GalaxyOne Holdings, LLC (“GalaxyOne,” “Company,” “we,” “us,” or “our”).
 
1.     Overview
 
These terms and conditions (“Terms”) govern participation in the $1,000 deposit bonus offer (the “Promotion”). By participating in the Promotion, you (“Participant” or “you”) agree to these Terms, our general Terms of Use,  and our Privacy Policy. If there is a conflict between these Terms and the Terms of Service or any other agreement you have with us, the Terms will control for the matter(s) directly in conflict.  Any capitalized terms not defined in these Terms have the same meaning as in the Terms of Service.
 
Campaign-Specific Offer: This Promotion is offered in connection with a limited-time marketing campaign and may only be available through designated channels, including specific landing pages, referral links, or promotional materials. Eligibility may require accessing the Promotion through such channels and/or entering the required promotional code.
 
2.     Time Period Definitions
 
“Promotion Period” begins on August 17th, 2026, and ends at 11:59 p.m. Eastern Time on August 31, 2026 (the “Promotion Period”).
“Account Opening Period” means the period beginning August 17th, 2026 and ending at 11:59 p.m. Eastern Time on August 31, 2026.
“Funding Period” means the thirty (30) calendar day period beginning on the date an eligible Participant opens a qualifying GalaxyOne account.
“Maintenance Period” means the one hundred twenty (120) consecutive calendar day period beginning on the date the Participant’s cumulative qualifying deposits first equal or exceed $10,000.
 
3.     Eligibility
 
To be eligible, you must meet all requirements during the applicable time periods defined above, and through credit issuance:
 
Account Status: You must open a GalaxyOne account in good standing (“Account”) between August 17th, 2026 and August 31, 2026 (“Account Opening Period”) in accordance with our onboarding procedures and Terms of Service. Limit of one promotional credit per person. The Promotion is non-transferable and may not be combined with other offers unless expressly permitted by the Company.
 
New User Requirement: This Promotion is only available to new GalaxyOne users who have not previously opened or maintained a GalaxyOne account, unless otherwise expressly permitted by the Company.
 
Promo Code Requirement: You must enter the promotional code “AUGUST1000” at the time of account signup or as otherwise instructed by GalaxyOne during the Account Opening Period. Failure to apply the promo code correctly may result in ineligibility, as determined by GalaxyOne in its reasonable discretion.
 
Qualifying Deposit and Balance Requirement: You must deposit at least ten thousand U.S. dollars ($10,000) in cash or crypto into your GalaxyOne Account during the Funding Period. The qualifying deposit must be made after the promotional code is applied to be eligible.
You must maintain qualifying net deposits of at least $10,000 across your GalaxyOne Account(s) for one hundred twenty (120) consecutive calendar days beginning on the date your cumulative qualifying deposits first equal or exceed $10,000 (the “Maintenance Period”).
 Eligibility is determined based on net deposits and withdrawals, not market fluctuations. Crypto deposits are valued in USD at the time they are credited. The Company will determine the Maintenance Period and qualifying balance in its sole discretion based on daily ledger balances as recorded in GalaxyOne systems, acting reasonably and in good faith.
 
Source of Funds: Only new funds transferred to GalaxyOne from an external financial institution qualify. Transfers between GalaxyOne accounts, internal transfers, reversals, returned items, chargebacks, and adjustments do not qualify. If any qualifying deposit is reversed or returned for any reason during the Maintenance Period, you will be deemed ineligible.
 
Residency and Age: You must be a legal resident of the United States and at least 18 years of age (or the age of majority in your jurisdiction, if higher).
 
Compliance and Good Standing: You must comply with all applicable laws, regulations and onboarding requirements, including without limitation all anti-money laundering and know-your-customer screening requirements. Your Account(s) must remain in good standing (not suspended, restricted, or closed) through  the date that the credit is issued, as defined below.
 
Offer Limits. Limit one promotional credit per person. The Company may, in its discretion, limit the Promotion to one per household and/or one per tax ID, as determined by us using reasonable methods. The Promotion is not available to employees of GalaxyOne or its affiliates or to participants in any enterprise or institutional program unless expressly authorized.
 
3. Promotional Credit
 
Amount: Eligible Participants will receive a promotional credit of USD $1,000 posted to their GalaxyOne Cash Account.
 
Timing: The promotional credit will be issued within thirty (30) calendar days after the completion of your Maintenance Period, provided all eligibility criteria remain satisfied as of the issuance date. The Account must be open, active, and in good standing at the time of issuance.
 
Use of Credit: The promotional credit may be used within the GalaxyOne platform in accordance with our Terms of Service. Cash redemption is subject to standard GalaxyOne Cash Account processing times and applicable limits. The credit may be used, transferred, or withdrawn in accordance with the Terms of Service and any applicable account limitations.
The promotional credit is not transferable prior to being credited to your account and may not be sold or assigned. Any withdrawal or transfer of funds, including the promotional credit, is subject to standard processing times, verification procedures, and applicable limits.
If the promotional credit is reversed in accordance with these Terms, GalaxyOne may debit the amount of the credit from your account, including from available balances to the extent permitted by applicable law. We may provide notice where practicable.
 
Adjustments and Reversals: If you fail to maintain eligibility at any point prior to issuance or if GalaxyOne identifies activity it believes to be abusive or manipulative, GalaxyOne may withhold or reverse the promotional credit. If the promotional credit is posted and later determined to have been issued in error or in violation of these Terms, GalaxyOne may debit the amount of the credit from your Account.
 
Taxes: You are responsible for any taxes resulting from receipt of the promotional credit. The promotional credit may be treated as taxable income. GalaxyOne may report the value of the promotional credit based on fair market value at the time of issuance to tax authorities as required by law, including through Forms 1099 or other applicable information returns.
 
 4. Promotion Period
 
The Company reserves the right to modify, suspend, or terminate the Promotion, or any component of it, at any time, with or without notice, except as required by law. Changes will apply prospectively and will not materially disadvantage Participants who have already met or are actively meeting the eligibility requirements.
 
5. Disqualification
 
GalaxyOne may disqualify any Participant if the Participant:
 
●      Fails to meet eligibility requirements;
●      Provides false, incomplete, or misleading information (including regarding accredited investor status or source of funds);
●      Attempts to manipulate or abuse the Promotion; or
●      Violates these Terms, Terms of Service, or any applicable law; or
●      Engages in suspicious, high-risk, or fraudulent activity
 
The Company reserves the right to disqualify any Participant who attempts to create multiple accounts, uses multiple identities, or otherwise circumvents the one-per-person, household, or tax ID limitation.
 
If disqualified, the Participant forfeits the promotional credit. GalaxyOne’s determinations are final.
 
 6. Limitation of Liability
 
To the maximum extent permitted by law, GalaxyOne and its affiliates, directors, officers, employees, and agents are not liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, opportunity costs, or damages arising from delays, outages, technical malfunctions, or third-party services. Some jurisdictions do not allow certain limitations; in those jurisdictions, liability is limited to the maximum extent permitted by law. Nothing in this section limits liability for gross negligence, fraud, or willful misconduct.
 
 7. General Terms
 
This Promotion is void where prohibited. Participation is subject to all applicable federal, state, and local laws and regulations. No cash alternative or substitution is permitted except by GalaxyOne, which reserves the right to substitute a promotional item of equal or greater value if the promotional credit becomes unavailable. No waiver by GalaxyOne of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
GalaxyOne may amend these Terms at any time. Updated Terms will be posted on our website. Your continued use of the GalaxyOne platform following any amendment constitutes acceptance of the revised Terms. If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.
 
Marketing materials associated with this Promotion are for informational purposes only and are subject to these Terms. In the event of any inconsistency between marketing materials and these Terms, these Terms will control.
 
All disputes will be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles. Venue and jurisdiction will be in the state and federal courts located in New York County, New York, unless otherwise required by law.
